How These Terms Apply

Welcome to the website of Divetro Inc. (“Divetro,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, products, services, quotations, orders, and purchases.

By using this website, placing an order, submitting payment, or otherwise engaging with Divetro, you agree to these Terms. If you do not agree, please do not use our website or purchase from us.

1. Website Use

You may use this website only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the website in any way that violates applicable law;
  • interfere with the website’s operation or security;
  • submit false, misleading, or incomplete information;
  • attempt to gain unauthorized access to any part of the website or related systems.

We reserve the right to restrict or terminate access to the website at any time if we believe these Terms have been violated.

2. Product Information

Divetro offers custom architectural products, including but not limited to windows, doors, glazing systems, and related solutions. Unless expressly stated otherwise in writing, all products offered by Divetro are custom-made, special-order, and non-stock items.

Because our products are made to order:

  • product details may vary based on final approved specifications;
  • website images, renderings, brochures, and other marketing materials are for general illustrative purposes only;
  • colors, finishes, glass appearance, hardware details, and other visual elements may differ slightly from what is shown online or in samples;
  • all orders are subject to manufacturing feasibility, availability, and final confirmation by Divetro.

3. Orders and Payment

Divetro sells directly through its catalog and website.

For online purchases placed through the website, 100% payment is required at checkout unless otherwise stated.

For offline purchases or custom project orders arranged outside website checkout, our standard payment terms are:

  • 50% deposit at the time of order placement
  • 50% balance due before shipment or release of goods to the customer

An order is considered placed once payment is received. Divetro reserves the right to review, confirm, decline, cancel, or limit any order in cases including, but not limited to, pricing errors, incomplete information, suspected fraud, availability issues, or other legitimate business reasons.

4. Pricing

All prices, specifications, and availability are subject to change without notice unless confirmed in writing by Divetro.

Quoted prices may not include taxes, shipping, delivery surcharges, site-specific handling, unloading, storage, or other project-related costs unless expressly stated.

5. Cancellation Policy

Because our products are custom-made, cancellation rights are limited.

A customer may request cancellation within three (3) calendar days after payment by sending written notice by email to Divetro. A cancellation is effective only after it has been confirmed by an authorized Divetro representative.

If a cancellation is approved within that period, Divetro will issue a refund less any non-refundable payment processing fees, merchant fees, banking charges, or similar transaction costs actually incurred based on the payment method used.

After that 3-day period, orders are considered final and may not be canceled, modified, returned, or refunded, except where required by law or expressly approved by Divetro in writing.

6. No Returns and No General Refunds

All products sold by Divetro are custom order, made-to-order, and non-stockable. For that reason:

  • returns are not accepted;
  • exchanges are not guaranteed;
  • refunds are not available once the cancellation window has passed.

Customers are responsible for reviewing all order details carefully before submitting payment and approving the order.

7. Measurements and Customer Responsibility

Unless measurements are taken directly by a Divetro representative, the customer is solely responsible for all measurements, dimensions, and specifications submitted with the order.

Divetro is not responsible for errors, mismatches, fit issues, installation issues, delays, or additional costs resulting from measurements, dimensions, or specifications provided by the customer or by any third party.

If measurements are taken by a Divetro representative, Divetro will be responsible only for the measurements actually taken by our representative and only as reflected in the final approved order documents.

Customers remain responsible for reviewing and approving the final order details, including dimensions, configuration, handing, operation type, finish selections, glazing selections, and other specifications.

8. Delivery Terms

Unless otherwise agreed in writing, all deliveries are made on a curbside delivery basis.

The customer is responsible for ensuring that the delivery site is accessible and ready to receive the shipment, including any labor, equipment, unloading arrangements, storage, or site preparation required.

Any delivery dates provided by Divetro are estimates unless expressly guaranteed in writing. Divetro is not liable for delays caused by manufacturers, freight carriers, weather, customs, supply chain disruptions, labor shortages, or other circumstances beyond our reasonable control.

9. Inspection at Delivery and Freight Damage Claims

All shipments must be inspected carefully at the time of delivery.

When accepting delivery from a freight carrier, the customer must write on the delivery receipt:

If this notation is not made, and the shipment is accepted without qualification, claims for shipping damage may be denied.

The customer must also:

  • inspect the shipment as soon as reasonably possible;
  • take clear photos and video of the packaging, pallets, crates, labels, and products;
  • document any visible damage, shortages, or irregularities;
  • notify Divetro promptly in writing with supporting evidence.

Failure to inspect, document, and report issues properly may result in denial of a claim.

Divetro is not responsible for damage occurring during unloading, after delivery, during storage, or through handling by the customer, consignee, contractor, installer, or any third party.

10. Installation and Project Scope

Installation scope, labor, site conditions, structural preparation, waterproofing, finish work, access limitations, code-related items, and related services vary by project.

Unless expressly included in a separate written proposal or agreement, no specific installation scope is included with the sale of products.

Any installation-related work, if offered by Divetro, will be defined separately after project review, site evaluation, and written agreement.

11. Product Variations and Tolerances

As our products are custom-manufactured, reasonable variations may occur, including but not limited to:

  • finish tone and texture;
  • decorative pattern or wood grain appearance;
  • glass appearance under different light conditions;
  • manufacturing tolerances within accepted standards;
  • differences between digital images, printed materials, samples, and final delivered products.

Such reasonable variations do not constitute defects.

12. Limitation of Liability

To the fullest extent permitted by law, Divetro shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of use, loss of profits, project delays, contractor costs, reinstallation costs, business interruption, or aesthetic dissatisfaction not involving a proven defect.

To the fullest extent permitted by law, Divetro’s total liability arising out of or relating to any order, product, service, or claim shall not exceed the amount actually paid to Divetro for the specific order or product giving rise to the claim.

13. Warranty Disclaimer

Except as may be expressly provided in a separate written warranty issued by Divetro or by the applicable manufacturer, products and services are provided subject to the terms, limitations, exclusions, and conditions set forth in the applicable order documents and warranty materials.

Divetro makes no additional warranties, express or implied, except as expressly stated in writing.

To the fullest extent permitted by law, Divetro disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by law.

14. Intellectual Property

All content on this website, including text, layouts, graphics, renderings, product descriptions, logos, branding, images, videos, and downloadable materials, is the property of Divetro Inc. or its licensors and is protected by applicable intellectual property laws.

No content from this website may be copied, reproduced, republished, distributed, modified, displayed, or otherwise used without prior written permission from Divetro.

15. Third-Party Services

This website may contain links to third-party websites, services, payment processors, or external platforms. Divetro is not responsible for the availability, content, policies, or practices of any third party.

Your use of third-party services is at your own risk and subject to the terms and policies of those providers.

16. User Submissions

If you submit plans, drawings, measurements, specifications, comments, reviews, or other materials to Divetro, you represent that the information provided is accurate to the best of your knowledge and that you have the right to share it.

We may use submitted materials for purposes including evaluating inquiries, preparing quotes, processing orders, coordinating delivery, and supporting your project.

17. Governing Law

These Terms, and any dispute arising out of or relating to your use of the website, your order, your purchase, or your relationship with Divetro, shall be governed by the laws of the State of New York, without regard to conflict of laws principles.

18. Disputes

If a dispute arises, the parties agree to first attempt to resolve the matter in good faith through direct written communication.

If the matter cannot be resolved informally, either party may pursue available legal remedies in a court of competent jurisdiction in the State of New York, unless applicable law requires otherwise.

19. Changes to These Terms

Divetro may update these Terms at any time. Any changes become effective upon posting to the website unless otherwise stated.

Your continued use of the website or continued dealings with Divetro after revised Terms are posted constitutes your acceptance of those updated Terms.
